1. The name of the Corporation is: Southeast Family Life Insurance Company.
2. Dissolution of the Corporation was recommended to the shareholder by the board of directors on 11/15, 2010.
3. Dissolution of the Corporation was approved by its shareholder on 11/15, 2010.
4. There are One Hundred Thousand (100,000) issued and outstanding voting shares of stock of the Corporation eligible to vote on approval of the dissolution. One Hundred Thousand (100,000) shares voted to approve the dissolution, which was sufficient for approval.
