ARTICLES OF ORGANIZATION OF BASSETT 10 L.L.C.
Pursuant to Arizona Revised Statutes §29-632, the undersigned agree to form an Arizona limited liability company and state as follows:
1. Name. The name of this limited liability company is Bassett 10 L.L.C.
2. Purpose. The purpose for which this limited liability company is organized is the transaction of any and all lawful business for which a limited liability company may be organized under the laws of the State of Arizona, as the laws may be amended from time to time.
3. Known Place of Business and Statutory Agent. The address of the registered office of this limited liability company and the name and mailing address of the agent for service of process are: Registered Office: 4603 N. Borgatello Lane, Phoenix, AZ 85018; Statutory Agent: Lynn T. Ziolko, Esq., Kutak Rock LLP, 8601 N. Scottsdale Road, Suite 300, Scottsdale, AZ 85253.
4. Perpetual Existence. The limited liability company will have perpetual existence.
5. Management. Management of this limited liability company is vested in a manager or managers.
6. Managers. The name and mailing address of each person who is a manager of this limited liability company at the time of its formation are: Gregory S. Hancock, 4603 N. Borgatello Lane, Phoenix, AZ 85018; Anne Martin Hancock, 4603 N. Borgatello Lane, Phoenix, AZ 85018.
7. Members. The name and mailing address of each member who owns a twenty percent (20%) or greater interest in the capital and profits of this limited liability company at the time of its formation are: Gregory S.
