1. Name. The name of this limited liability company is Arcadia Enterprises, LLC (the “Company”). The new name is Keenan Ventures LLC.
2. Date of Initial Filing. The initial Articles of Organization of the Company were filed on April 7, 2006.
3. Amendment to Articles of Organization. A. The Articles of Organization of the Company are amended at paragraph 2 to change the address of the registered office as follows: 1418 North Scottsdale Road, Suite 202, Scottsdale, AZ 85257. B. The Articles of Organization of the Company are amended at paragraph 3 to change the Statutory Agent for service of process as follows: Jack Keenan, 1418 North Scottsdale Road, Suite 202, Scottsdale, AZ 85257. C. The Articles of Organization of the Company are amended at paragraph 5 to change the manager(s) of the Company. The name and address of each person who is a manager is as follows: Jack Keenan, 1418 North Scottsdale Road, Suite 202, Scottsdale, AZ 85257. D. The Articles of Organization of the Company are further amended at paragraph 5 to change the member(s) of the Company who own a twenty percent (20%) or greater interest in the capital or profits of the Company as follows: Jack Keenan, 1418 North Scottsdale Road, Suite 202, Scottsdale, AZ 85257.
